Agreement

These terms govern your use of ToolCribr, provided by ToolCribr, LLC (“ToolCribr”, “we”). By creating an account or using the service, you agree to them. If you are agreeing on behalf of an organization, you confirm you have authority to bind it.

The service

ToolCribr provides software for tracking tools and assets across jobs, vehicles, and subcontractors, including chain-of-custody handoffs, rentals, consumables, certifications, job-cost allocation, and reporting.

We may change or improve the service over time. If we remove a material feature your plan depends on, we will give notice to organization administrators.

Accounts and access

You are responsible for the accuracy of your account information, for the security of your credentials and API keys, and for the actions taken by users your organization invites. Notify us promptly if you believe an account or key has been compromised.

Roles determine what each user may reach. Your organization’s administrators decide who holds which role.

Subscriptions and billing

Paid plans are billed in advance through Stripe on a recurring basis until cancelled. Fees are stated at the time of purchase. Except where required by law, payments are non-refundable, and cancelling stops future renewals rather than refunding the current period.

Features are gated by plan tier. Changing tiers changes what is available to your organization.

If a payment fails, we will retry and notify your administrators. If it remains unpaid past the grace period shown in the app, we may suspend or downgrade access until the balance clears. Your data is not deleted on suspension.

If we change prices, we will give notice before the change applies to your next renewal.

Acceptable use

You agree not to:

  • attempt to reach another organization’s data, or probe or circumvent the isolation, authentication, or billing controls;
  • interfere with the service’s operation, or exceed API rate limits by evading them;
  • upload unlawful content, malware, or material you have no right to upload;
  • resell or provide the service to third parties except under a separate partner agreement with us;
  • reverse engineer the service except to the extent that restriction is unenforceable by law.

Good-faith security research is welcome. Report findings to security@toolcribr.com rather than disclosing them publicly, and do not access data that is not yours.

Your data

You own the data you put into ToolCribr. You grant us the licence needed to host, process, and display it in order to run the service for you. We do not sell it. Our handling of personal data is described in the Privacy Policy.

You can export your data through the product’s reporting and export features while your account is active.

Audit and custody records are append-only by design. You cannot edit them, and neither can we — that is what makes them worth relying on.

Availability

We work to keep ToolCribr available and to protect your data, but the service is provided on an “as is” and “as available” basis. We do not offer a contractual uptime guarantee except where we have agreed one with you in writing. Maintenance, third-party outages, and faults can interrupt access.

Disclaimers and liability

To the fullest extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

ToolCribr records what your team tells it. It is a record-keeping tool, not a guarantee that a tool is where the record says it is, and not a substitute for your own insurance, inspection, or compliance obligations.

To the fullest extent permitted by law, neither party is liable for indirect, incidental, or consequential damages, or for lost profits or lost data. Our total liability for any claim arising out of these terms is limited to the fees you paid us in the twelve months before the claim.

Termination

You may stop using the service and cancel at any time from your billing settings. We may suspend or terminate an account that materially breaches these terms, or that is unpaid past its grace period. On termination we handle your data as described in the Privacy Policy.

Changes to these terms

If we make a material change, we will update the date at the top of this page and notify organization administrators. Continuing to use the service after a change takes effect means you accept the revised terms.
